1. The Name of this organization shall be The Friends of Iceland. 2. The objects shall be the promotion of good fellowship and of goodwill amongst its members and the community at large. 3. There shall be two classes of members, namely:

An honorary member is one whom the Directors may, by unanimous vote of all the directors, so elect in recognition of important or distinguished service rendered to the club, or one who may be elected as such by a two-thirds vote of the members of the Club present at an annual or special meeting. 5. An honorary member shall be exempt from payment of annual dues but in all other respects he shall be entitled to the privileges of and subject to the rules of the Club, but shall not be eligible to vote or to hold office in the Club. 6. All other members of the Club shall be regular members. 7. The fiscal year shall be from June 1st to May 31st. 8. The dues shall be determined each year for the ensuing year by majority vote of the Club at it’s annual meeting, following a recommendation by the Directors. 9. Duties, Elections

There shall be an annual meeting for the election of officers and other directors and the transaction of any other business of the Club, such meetings to be held during the month of April in each year on in such subsequent month as the Directors may determine. 12. This constitution may be amended by a two-thirds vote of the members present and voting at any regularly constituted meeting providing such amendment shall have been submitted in writing to the Board of Directors at least two weeks before the date set for such meeting and shall have been distributed by mail to all members of the club in good standing at least one week before the date of the meeting.> 13. Quorum at any annual or special meeting shall consist of fifteen (15) paid-up members, or twenty-five per cent (25%) of the total paid-up membership, whichever is the greater. A paid-up member is one whose membership fee has been paid in full for the year in which the meeting is being held. 14. By-Laws may be added to this constitution by majority vote at any annual or special meeting and may be amended or repealed by the same procedure.
