An art/creative writing/gardening magazine

I received a message (convo) on Etsy from someone who self publishes a gardening magazine. It's a different magazine in that it includes short stories and art related to gardening, too. She would like to use two of my images to help illustrate a story written by someone else. Here's a snippet of what she stated:
"I was wondering if you'd be interested in trading the use of your two drawings in my new magazine as illustrations for a story, in exchange for a 1/4 page color ad in the magazine (Summer/Fall 2012)."

I have looked all around and searched in WC, too, but can't quite put my finger on this type of issue. On the one hand, I could look at it as submitting my art to the magazine, but on the other hand, it seems I may need an agreement to the image rights.

Any thoughts on how you read this?

As long as it is for this single use, I think it's a fair trade.

Thanks - I'm sure everything would be fine, but I've never been contacted for that before. I don't want to go in naive, but I don't want to be too cautious, either.

I would ask how many subscribers she as, or her average number of sales per issue - to get an idea of how many people would see your ad. It could be a fun simple thing to do but I'd just want to know someone would see it in order to make the swap worthwhile. If she sells the magazine on Etsy you could look in her Sold section to find a count?

Suggest getting an agreement signed by both parties before you verbally give permission.
